ANNEX \u2013 SERVICE EXPLANATIONS<\/strong><\/h2>\n\n\n\n

1. Definition and Differentiation of Subscriptions<\/strong><\/p>\n\n\n\n

This annex details the differences between the \u201cCreative Marketing Subscription\u201d, \u201cAds Marketing Subscription\u201d, and \u201cFull Service Marketing Subscription\u201d by describing the activities performed by the Service Provider.<\/p>\n\n\n\n

1.1 Creative Marketing Subscription<\/strong><\/p>\n\n\n\n

The Client gains access to the online platform Trello (available on mobile and browser), where they can request an unlimited number of tasks from the following categories:<\/p>\n\n\n\n

    \n
  • Graphic Design<\/li>\n\n\n\n
  • Video Editing for social media (videos with a maximum duration of 15 minutes)<\/li>\n\n\n\n
  • Copywriting<\/li>\n\n\n\n
  • Digital strategy<\/li>\n<\/ul>\n\n\n\n

    The Service Provider will work on one task at a time, which will be considered completed only after the Client confirms that no further modifications are necessary. Once a task is completed, the next one in the order set by the Client will be picked up.<\/p>\n\n\n\n

    1.2 Ads Marketing Subscription<\/strong><\/p>\n\n\n\n

    This subscription includes all the benefits of the Creative Marketing Subscription package, having the same conditions for unlimited tasks and delivery.<\/p>\n\n\n\n

    Additionally, the Service Provider:<\/p>\n\n\n\n

      \n
    • Develops an online advertising strategy on Meta platforms (Facebook and Instagram), TikTok, and Google (Google and YouTube) for a single business, set by the Client upon activation of the subscription.<\/li>\n\n\n\n
    • Manages and optimizes advertising campaigns on the mentioned platforms, regardless of the budget allocated by the Client for ads (the ad budget is separate from the subscription cost).<\/li>\n<\/ul>\n\n\n\n

      1.3 Full Service Marketing Subscription<\/strong><\/p>\n\n\n\n

      This subscription includes all the benefits of the Ads Marketing Subscription package, having the same conditions for unlimited tasks and campaign management.<\/p>\n\n\n\n

      Additionally, the Service Provider:<\/p>\n\n\n\n

        \n
      • Develops and implements an organic content strategy on Meta platforms (Facebook and Instagram), TikTok, and LinkedIn.<\/li>\n\n\n\n
      • Gains access and manages the Client\u2019s posts, ensuring a maximum of one post per day for a single business.<\/li>\n\n\n\n
      • Responds to comments and messages on behalf of the Client, up to 20 interactions per business day.<\/li>\n\n\n\n
      • Provides the necessary graphic\/video materials for posts, either through content provided by the Client or from their own database, using only licensed materials for commercial use.<\/li>\n<\/ul>\n\n\n\n

        2. Benefits and General Conditions Applicable to All Packages<\/strong><\/p>\n\n\n\n

        2.1 Average Delivery in 24 Hours<\/strong><\/p>\n\n\n\n

        The execution time for each task is set by the Service Provider based on its difficulty. For example:<\/p>\n\n\n\n

          \n
        • Logo Design: estimated delivery time of 7 working days.<\/li>\n\n\n\n
        • Social media banners, flyers, business cards: estimated delivery time of 4 hours.<\/li>\n<\/ul>\n\n\n\n

          These times represent estimates for delivering the first version of the requested material, not the final delivery time after modification requests.<\/p>\n\n\n\n

          2.2 Unlimited Requests<\/strong><\/p>\n\n\n\n

          The Client can submit an unlimited number of requests (tasks) in the platform. These will be processed one by one, in the order set by the Client.<\/p>\n\n\n\n

          There is no guarantee for the completion of a minimum number of tasks per month, and the execution time varies based on complexity.<\/p>\n\n\n\n

          2.3 Unlimited Brands<\/strong><\/p>\n\n\n\n

          The Client can add tasks for an unlimited number of brands in the platform, without affecting the order or delivery time.<\/p>\n\n\n\n

          This feature is available exclusively for the \u201cCreative Marketing Subscription\u201d package.<\/p>\n\n\n\n

          The \u201cAds Marketing Subscription\u201d and \u201cFull Service Marketing Subscription\u201d packages are limited to one business.<\/p>\n\n\n\n

          2.4 Unlimited Users<\/strong><\/p>\n\n\n\n

          The Client can request the creation of an unlimited number of accounts for access to the online platform, each user having equal rights to:<\/p>\n\n\n\n

            \n
          • View and manage tasks<\/li>\n\n\n\n
          • Add and download files<\/li>\n\n\n\n
          • Delete and comment on tasks<\/li>\n<\/ul>\n\n\n\n

            New accounts are activated upon written request to the Account Manager.<\/p>\n\n\n\n

            2.5 Unlimited Stock Images<\/strong><\/p>\n\n\n\n

            The Service Provider offers the Client access to stock images exclusively via the Freepik platform (https:\/\/www.freepik.com\/), with a commercial license.<\/p>\n\n\n\n

            2.6 Simple and Secure Online Payment<\/strong><\/p>\n\n\n\n

            Payments are processed via Netopia<\/strong>, one of the largest online payment platforms in Romania.<\/p>\n\n\n\n

            Payment can be interrupted or modified at any time by written request to the Account Manager<\/strong> or by not paying the proforma invoice.<\/strong>.<\/p>\n\n\n\n

            2.7 Total Flexibility \u2013 Modify or Cancel Subscription<\/strong><\/p>\n\n\n\n

            The Client can:<\/p>\n\n\n\n

              \n
            • Modify the type of subscription at any time, with the costs adjusted only if upgrading to a higher package.<\/li>\n\n\n\n
            • Pause the subscription for up to 3 calendar months, during which the data remains available, and reactivation grants the Client the remaining days from the last paid month (calculated based on a 30-day calendar month).<\/li>\n<\/ul>\n\n\n\n

              Example: If paused on the 10th day of the subscription and resumed after 60 days, the Client will have 20 remaining days to use.<\/p>\n\n\n\n

              In the first 3 months after the first activation of the subscription, the Client can pause it as many times as needed.<\/p>\n\n\n\n

                \n
              • Cancel the subscription exclusively by notifying the Account Manager<\/strong> or by not paying the proforma invoice.<\/strong>.<\/li>\n<\/ul>\n\n\n\n

                The proforma is automatically issued by email and can be paid by pressing the \u201cPay Now\u201d button on the invoice (via Netopia).<\/p>\n\n\n\n

                After payment is made, the invoice is automatically generated.<\/p>\n\n\n\n

                3. Working Hours and Support<\/strong><\/p>\n\n\n\n

                Services are provided on business days (Monday to Friday, excluding public holidays)<\/strong>, between 09:00 – 18:00<\/strong>.<\/p>\n\n\n\n

                Requests made outside business hours are processed on the next business day.<\/p>\n\n\n\n

                4. Changing the Working Team<\/strong><\/p>\n\n\n\n

                Upon the Client\u2019s request, the responsible team may be changed, subject to available resources.<\/p>\n\n\n\n

                If no internal resources are available, the request may be declined.<\/p>\n\n\n\n

                Conclusion<\/strong><\/p>\n\n\n\n

                This annex clearly defines the operation of services and the differences between subscriptions. The Client declares that they have read and understood the details of the services and accept them at the time of the subscription purchase.<\/p>\n\n\n\n

                SERVICE AGREEMENT BROADS \u2013 MARKETING AS A SUBSCRIPTION<\/strong><\/h2>\n\n\n\n

                1. DEFINITIONS<\/p>\n\n\n\n

                1.1 Broads.ro<\/strong> - The official website for the Marketing as a Subscription<\/strong> services and the starting page for the Netopia online payment processor Netopia<\/strong>.<\/p>\n\n\n\n

                1.2 Service<\/strong> \u2013 The services provided by SC KGI96 GROUP SRL<\/strong> through www.broads.ro, divided into the following categories:<\/p>\n\n\n\n

                  \n
                • Graphic Design<\/strong> (e.g., logo, banners, brochures)<\/li>\n\n\n\n
                • Copywriting<\/strong> (e.g., website texts, articles, newsletters)<\/li>\n\n\n\n
                • Digital Strategy and Social Media<\/strong><\/li>\n\n\n\n
                • Social Media Management<\/strong> (Facebook, Instagram, TikTok, LinkedIn, Google My Business)<\/li>\n\n\n\n
                • Online Advertising<\/strong> (Facebook Ads, Instagram Ads, TikTok Ads, Google Ads)<\/li>\n<\/ul>\n\n\n\n

                  1.3 1.3 Available Monthly Subscription Types:<\/strong>:<\/p>\n\n\n\n

                    \n
                  • Creative Marketing Subscription<\/strong> \u2013 includes Graphic Design, Copywriting, Digital Strategy.<\/li>\n\n\n\n
                  • Ads Marketing Subscription<\/strong> \u2013 includes Creative services + advertisement management for 1 business<\/strong> on Meta platforms (Facebook & Instagram), TikTok, and Google (Google & YouTube).<\/li>\n\n\n\n
                  • Full Service Marketing Subscription<\/strong> \u2013 includes Creative services + Ads + Social Media management for 1 business<\/strong>, with a daily response limit<\/strong> to comments\/messages.<\/li>\n<\/ul>\n\n\n\n

                    1.4 Client<\/strong> \u2013 A legal entity purchasing a subscription from www.broads.ro.<\/p>\n\n\n\n

                    1.5 Order<\/strong> \u2013 A request to purchase a subscription, valid only after payment is made<\/strong> via the Netopia processor.<\/p>\n\n\n\n

                    1.6 Visitor<\/strong> \u2013 Any person who accesses the website www.broads.ro without purchasing services.<\/p>\n\n\n\n

                    1.7 Contract<\/strong> \u2013 This agreement, applicable exclusively in Romanian.<\/p>\n\n\n\n

                    2. CONTRACTING PARTIES<\/p>\n\n\n\n

                    2.1 Service Provider:<\/strong> SC KGI96 GROUP SRL, Str. Stadion nr. 5, Sat Plosca, Com. Plosca, Jud. Teleorman, J34\/294\/2020, CUI: RO 42690437, represented by Mihnea Vlad<\/strong> \u2013 Administrator.<\/p>\n\n\n\n

                    2.2 Client:<\/strong> The Client\u2019s identification details are obtained at the time of subscription purchase.<\/p>\n\n\n\n

                    2.3 Signature of the contract<\/strong>: Any order confirmed by the Client by checking the \u201cI agree with the Terms and Conditions\u201d box represents a firm acceptance<\/strong> of this contract, having the value of an electronic signature according to the Electronic Commerce Law 365\/2002<\/strong> and the Electronic Signature Law 455\/2001.<\/strong>.<\/p>\n\n\n\n

                    3. CONTRACT DURATION<\/p>\n\n\n\n

                    3.1 The contract\u2019s validity<\/strong> coincides with the duration of the purchased subscription (monthly<\/strong>).<\/p>\n\n\n\n

                    3.2 Access to services<\/strong> starts within a maximum of 6 working hours<\/strong> after payment confirmation.<\/p>\n\n\n\n

                    3.3 Termination of the subscription<\/strong>:<\/p>\n\n\n\n

                      \n
                    • The Client can cancel the subscription anytime by notifying the Account Manager<\/strong> or by not paying the proforma invoice.<\/strong>.<\/li>\n\n\n\n
                    • Cancellation must be made before the renewal date to avoid automatic payment.<\/li>\n<\/ul>\n\n\n\n

                      3.4 Subscription modification<\/strong>:<\/p>\n\n\n\n

                        \n
                      • It can be made at any time, but the price difference is charged only when upgrading to a higher subscription<\/strong>.<\/li>\n<\/ul>\n\n\n\n

                        3.5 Pausing the subscription<\/strong>:<\/p>\n\n\n\n

                          \n
                        • The subscription can be paused for a maximum of 3 calendar months<\/strong>.<\/li>\n\n\n\n
                        • Upon reactivation, the Client will benefit from the remaining days of the last paid month.<\/strong>.<\/li>\n\n\n\n
                        • In the first 3 months<\/strong> from the first activation, pause can be applied unlimited times<\/strong>.<\/li>\n<\/ul>\n\n\n\n

                          3.6 Data deletion<\/strong>:<\/p>\n\n\n\n

                            \n
                          • La cererea expres\u0103 a Clientului, datele vor fi \u0219terse \u00een termen de 3 zile lucr\u0103toare<\/strong> dup\u0103 \u00eencetarea abonamentului.<\/li>\n<\/ul>\n\n\n\n

                            4. VALOAREA CONTRACTULUI \u0218I PLATA<\/p>\n\n\n\n

                            4.1 Plata abonamentului<\/strong> se face \u00een avans<\/strong>, prin Netopia<\/strong>, la data plas\u0103rii comenzii \u0219i ulterior, \u00een aceea\u0219i zi a lunii.<\/p>\n\n\n\n

                            4.2 Suspendarea serviciilor<\/strong>:<\/p>\n\n\n\n

                              \n
                            • Dac\u0103 plata nu este efectuat\u0103 \u00een 3 zile de la emiterea facturii proforme<\/strong>, serviciile sunt suspendate<\/strong>.<\/li>\n\n\n\n
                            • Dac\u0103 plata nu este efectuat\u0103 \u00een 5 zile calendaristice de la scaden\u021b\u0103<\/strong>, contractul \u00eenceteaz\u0103 de drept<\/strong>, f\u0103r\u0103 soma\u021bie.<\/li>\n<\/ul>\n\n\n\n

                              4.3 Metode de plat\u0103<\/strong>:<\/p>\n\n\n\n

                                \n
                              • Online, prin card bancar<\/strong> (procesat prin Netopia).<\/li>\n\n\n\n
                              • Prin transfer bancar<\/strong> doar la cererea expres\u0103 a Clientului.<\/li>\n<\/ul>\n\n\n\n

                                5. DISPONIBILITATEA \u0218I MODIFICAREA SERVICIILOR<\/p>\n\n\n\n

                                5.1 Oferta serviciilor \u0219i pre\u021burile<\/strong> sunt valabile at\u00e2t timp c\u00e2t sunt afi\u0219ate pe site<\/strong>.<\/p>\n\n\n\n

                                5.2 Notific\u0103ri de modificare<\/strong>:<\/p>\n\n\n\n

                                  \n
                                • Orice schimbare de pre\u021b sau disponibilitate a serviciilor este notificat\u0103 prin email<\/strong>, cu 30 de zile \u00eenainte<\/strong>.<\/li>\n<\/ul>\n\n\n\n

                                  5.3 Actualizarea datelor Clientului<\/strong> este obliga\u021bia acestuia<\/strong>, Prestatorul nefiind responsabil pentru probleme cauzate de date incorecte.<\/p>\n\n\n\n

                                  5.4 Accesul la platform\u0103<\/strong> r\u0103m\u00e2ne activ p\u00e2n\u0103 la \u00eencetarea abonamentului<\/strong>, indiferent de modific\u0103rile tehnologice.<\/p>\n\n\n\n

                                  5.5 Disponibilitate garantat\u0103<\/strong>: Serviciile sunt disponibile 99.8% din timp<\/strong>, excluz\u00e2nd perioadele de mentenan\u021b\u0103 anun\u021bate.<\/p>\n\n\n\n

                                  6. DREPTURILE \u0218I OBLIGA\u021aIILE P\u0102R\u021aILOR<\/p>\n\n\n\n

                                  6.1 Clientul se oblig\u0103 s\u0103:<\/strong><\/p>\n\n\n\n

                                    \n
                                  • Utilizeze serviciile \u00een conformitate cu legisla\u021bia \u00een vigoare<\/strong>.<\/li>\n\n\n\n
                                  • Nu foloseasc\u0103 serviciile \u00een scopuri ilegale.<\/li>\n\n\n\n
                                  • Nu \u00eencalce drepturile de autor sau protec\u021bia datelor.<\/li>\n<\/ul>\n\n\n\n

                                    6.2 Prestatorul se oblig\u0103 s\u0103:<\/strong><\/p>\n\n\n\n

                                      \n
                                    • Asigure accesul la platform\u0103 \u0219i serviciile contractate<\/strong>.<\/li>\n\n\n\n
                                    • Ofer\u0103 suport tehnic de luni p\u00e2n\u0103 vineri, \u00eentre 09:00 – 18:00<\/strong>.<\/li>\n<\/ul>\n\n\n\n

                                      7. \u00ceNCETAREA CONTRACTULUI<\/p>\n\n\n\n

                                      Contractul \u00eenceteaz\u0103 \u00een urm\u0103toarele situa\u021bii:<\/p>\n\n\n\n

                                        \n
                                      • Prin notificarea Clientului<\/strong> c\u0103tre Account Manager.<\/li>\n\n\n\n
                                      • Prin neplata facturii proforme<\/strong>.<\/li>\n\n\n\n
                                      • Prin decizia unilateral\u0103 a Prestatorului<\/strong>, \u00een cazul \u00eenc\u0103lc\u0103rii termenilor.<\/li>\n<\/ul>\n\n\n\n

                                        8. R\u0102SPUNDERE CONTRACTUAL\u0102<\/p>\n\n\n\n

                                        8.1 Clientul este responsabil<\/strong> pentru con\u021binutul \u0219i utilizarea serviciilor.<\/p>\n\n\n\n

                                        8.2 SC KGI96 GROUP SRL nu poate fi \u021binut r\u0103spunz\u0103tor<\/strong> pentru:<\/p>\n\n\n\n

                                          \n
                                        • Informa\u021bii incorecte furnizate de Client.<\/li>\n\n\n\n
                                        • Utilizarea serviciilor \u00een scopuri ilegale.<\/li>\n\n\n\n
                                        • \u00cent\u00e2rzieri sau erori cauzate de ter\u021bi (ex: probleme tehnice ale procesatorului de pl\u0103\u021bi).<\/li>\n<\/ul>\n\n\n\n

                                          9. CONFIDEN\u021aIALITATE<\/p>\n\n\n\n

                                          9.1 P\u0103r\u021bile se oblig\u0103 s\u0103 nu divulge<\/strong> informa\u021biile confiden\u021biale ter\u021bilor.<\/p>\n\n\n\n

                                          9.2 Aceast\u0103 restric\u021bie nu se aplic\u0103<\/strong> dac\u0103:<\/p>\n\n\n\n

                                            \n
                                          • Informa\u021biile sunt publice.<\/li>\n\n\n\n
                                          • Exist\u0103 obliga\u021bii legale de divulgare.<\/li>\n<\/ul>\n\n\n\n

                                            10. LEGISLA\u021aIA APLICABIL\u0102<\/p>\n\n\n\n
